1. Parties and acceptance. This Agreement is between Jackson Turner ("Publisher") and the individual who completes payment and checks "I agree" ("Customer"). Completing payment means Customer accepts these terms. If Customer does not agree, Customer must not complete the purchase.
2. What's licensed. Publisher grants Customer a limited, non-exclusive, non-transferable, revocable license to download and use one copy of the StudentOS Deployment Package — its prompts, role definitions, and accompanying materials — for Customer's own personal academic use. This is a license, not a sale; Publisher retains all ownership and copyright.
3. Restrictions. Customer agrees not to: resell, sublicense, rent, lease, or transfer the Package to any other person or organization; share, post, upload, or distribute it — including to friends, classmates, fraternity or sorority members, student organizations, shared drives, group chats, forums, or any public or semi-public repository; present its prompts or structure as Customer's own original work; or use it to build a competing product or service. Customer may keep one personal backup copy.
4. Confidentiality. The Package contains Publisher's proprietary prompt engineering and agent architecture. Customer agrees to keep it confidential and to protect it with at least the same care Customer uses for their own confidential materials.
5. Copyright. © 2026 Jackson Turner. All rights reserved. StudentOS, HELM, and the role names and prompts in the Package are Publisher's proprietary content. No part may be reproduced, distributed, or transmitted without Publisher's prior written permission, except as this Agreement allows.
6. Access & enforcement. Access is account-bound and gated behind payment confirmation. No technical measure can fully prevent screenshots or retyping — these terms exist to deter sharing and document what Customer agreed to, not to guarantee against misuse. Violating this Agreement can end Customer's license and access without refund.
7. No warranty; capability disclaimer. The Package is provided as-is. Its actual functionality depends on the AI platforms, subscription plans, connectors, and permissions Customer has at the time of use — all outside Publisher's control and subject to change. Publisher doesn't guarantee any specific feature stays available, or any academic outcome or grade.
8. Academic integrity. Customer is solely responsible for confirming AI assistance is permitted under their course, institution, and any employer policy before using the Package academically. Publisher is not responsible for any academic-integrity consequence from Customer's use or misuse.
9. Limitation of liability. To the maximum extent permitted by law, Publisher's total liability for any claim is limited to what Customer paid. Publisher is not liable for indirect, incidental, or consequential damages.
10. Refunds. Because the Package is delivered digitally, immediately after purchase, all sales are final once delivered. If Customer hasn't received it within 24 hours of a successful payment, contact Publisher for redelivery or a full refund.
11. Governing law. This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
12. Changes. Publisher may update this Agreement for future versions of the Package. The version Customer accepted at purchase governs that Customer's license.
13. Indemnification. Customer agrees to indemnify, defend, and hold harmless Publisher from any claims, losses, liabilities, damages, costs, and expenses — including reasonable attorney's fees — arising out of or related to Customer's use or misuse of the Package, Customer's violation of this Agreement, or Customer's violation of any law, academic policy, or third-party right. This Agreement governs Customer's use of the Package and does not bind, restrict, or apply to Customer's educational institution, which is not a party to it.
14. Severability & entire agreement. If any provision of this Agreement is found unenforceable, the rest remains in full effect. This Agreement is the entire agreement between Customer and Publisher regarding the Package and supersedes any prior discussion.
By checking "I agree" and completing payment, Customer acknowledges having read and agreed to this Agreement in full.
